These Terms of Service (“Terms”) govern your access to and use of Concierge’s websites, Agent Plugin, MCP tools, telephone identities, calling, messaging, and related services (collectively, the “Service”). By purchasing, installing, or using the Service, you agree to these Terms.
1. Eligibility and authority
You must be at least 18 years old and legally able to enter a contract. If you use the Service for another person or organization, you represent that you have authority to bind them. Concierge is designed for personal and authorized one-to-one use, not bulk commercial outreach.
2. What Concierge provides
Concierge provides communications transport, telephone identity, routing, policy enforcement, and related controls around a supported native AI orchestration experience. For Codex integrations, the intended live path uses your own installed Codex environment, ChatGPT-managed Codex authentication, and real Codex-owned threads. Concierge does not guarantee that every host, plan, carrier, country, device, or feature will be supported.
Native realtime and telecommunications interfaces can change. We may suspend or fail closed a live call when the native orchestration path, authenticated media path, or safety controls are unavailable. We will not knowingly substitute a materially different voice-agent brain without clear notice and consent.
3. Accounts, plugins, and security
You are responsible for safeguarding your devices, Codex or ChatGPT account, plugin installation, telephone access, and any credentials under your control. Do not provide Concierge with raw payment card data, passwords, API keys, or other secrets in ordinary model conversations. Notify us promptly if you suspect unauthorized use.
4. Telephone numbers and carriers
Telephone numbers are subject to carrier inventory, identity verification, regulatory requirements, geographic restrictions, and continued payment. A requested number is not active until provisioning is confirmed. Numbers may be reclaimed, replaced, suspended, or released if required by law, a carrier, nonpayment, abuse prevention, or service termination. Porting is not guaranteed unless separately offered in writing.
You authorize Concierge and its telecommunications providers to transmit calls, messages, caller identification, and operational metadata needed to provide the Service. Emergency calling is not supported. Do not use Concierge as a substitute for 911 or any emergency service.
5. Outbound calls and your responsibilities
You are responsible for the destinations, instructions, content, timing, and legal basis of communications initiated through your account. You must comply with consent, identification, do-not-call, recording, privacy, consumer-protection, and telecommunications laws that apply to you and each recipient. Automated or AI-assisted participation must be disclosed when required. The Acceptable Use Policy is part of these Terms.
6. Payments, usage, and taxes
Membership fees are charged in advance on the interval shown at checkout. Telephone numbers, carrier charges, usage, regulatory fees, taxes, and optional features may be billed separately. Material recurring or usage prices will be shown before authorization when supported. You authorize Stripe and our payment providers to charge your selected payment method.
Subscriptions renew automatically until cancelled. You may cancel through the Stripe customer portal or the method stated on your receipt. Cancellation stops future membership renewals but does not reverse already incurred carrier, number, or usage charges. Except where law requires otherwise, fees already paid are non-refundable. We may change future pricing with advance notice.
7. AI outputs and delegated actions
AI systems can misunderstand, hallucinate, or take an unintended action. You are responsible for reviewing consequential instructions, permissions, destinations, and results. Do not rely on the Service for medical, legal, financial, emergency, safety-critical, or other high-stakes decisions without qualified human review. Features may require confirmation before sensitive or destructive actions.
8. Availability and changes
The Service may be experimental, limited-release, or dependent on third-party systems. We do not promise uninterrupted or error-free operation. We may change, limit, or discontinue features to preserve security, compliance, host compatibility, or service integrity. Where practical, we will provide notice of material changes.
9. Intellectual property and feedback
Concierge and its licensors retain rights in the Service, branding, software, and documentation, subject to any open-source licenses that apply to repository code. You retain rights in your content. You grant us the limited rights necessary to transmit and process that content to provide, secure, and support the Service. Feedback may be used without restriction or compensation.
10. Suspension and termination
You may stop using the Service at any time and must separately cancel paid subscriptions and release numbers when applicable. We may suspend or terminate access for nonpayment, security risk, legal or carrier requirements, material breach, or suspected abuse. Provisions that by their nature should survive termination—including payment obligations, disclaimers, limitations, and dispute terms—will survive.
11. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing. We do not warrant AI accuracy, carrier availability, number permanence, message delivery, or third-party performance.
12. Limitation of liability
To the maximum extent permitted by law, Concierge and its affiliates, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, data, goodwill, or business opportunity. Our aggregate liability arising from the Service will not exceed the amount you paid to Concierge for the Service during the twelve months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply.
13. Indemnity
To the extent permitted by law, you will defend and indemnify Concierge and its affiliates from claims, damages, and expenses arising from your content, destinations, unlawful communications, violation of these Terms, or infringement of another person’s rights.
14. Governing terms and changes
The final legal entity, governing law, venue, and any arbitration or class-action terms must be inserted following counsel review before public launch. We may update these Terms. Material changes will be communicated by reasonable means, and continued use after the effective date constitutes acceptance where permitted by law.
